1. Purpose

These Terms and Conditions of Sale define the conditions applicable to the sale of professional licenses to use the Azimutis application, particularly in the context of direct billing outside download platforms.

2. Contractual documents

These Terms and Conditions of Sale supplement the Terms of Service available at: https://azimutis.app/en/terms.html. In case of contradiction, the Terms and Conditions of Sale prevail for commercial and payment provisions.

3. Customers concerned

The offers covered by these Terms and Conditions of Sale are reserved for customers acting in a professional capacity (companies, tradespeople, engineering firms, architects, etc.) as part of their activity.

4. Service description

Azimutis is an application enabling, in particular, horizon profile surveys, solar exposure analysis, photovoltaic estimates and generation of analyses. The service is a decision-support tool and does not replace a complete regulatory technical study.

5. License of use

The license granted is personal, non-exclusive, non-transferable and limited to the subscribed period. Each user must have their own account. Any reproduction, resale, provision to third parties or use beyond the granted rights is prohibited.

6. Duration

Unless otherwise stated in the quote, order or invoice, the license is granted for a period of 12 (twelve) months from activation of the relevant account or accounts.

Renewal

Unless otherwise indicated, the license does not renew automatically in the context of direct billing. Renewal may be offered at expiry through issuance of a new invoice.

7. Prices

Prices are expressed in euros. The applicable rates are those in force on the order date. The Publisher reserves the right to change rates for new subscriptions.

VAT not applicable - article 293 B of the French General Tax Code.

8. Order

The order may be formalized by any written exchange (email) accepting a quote, proposal or invoice. The customer provides the information required for billing and, where applicable, the email addresses of users to activate.

9. Payment terms

Payment may be made according to the methods indicated on the invoice, in particular by bank transfer. Unless otherwise stated, payment is due upon receipt of invoice.

Activation: the account or accounts are activated after actual receipt of payment.

10. Enterprise license - multiple users

Under an enterprise license, several users may be activated. The number of users corresponds to the number of activated accounts linked to the email addresses provided by the customer.

Any increase in the number of users may be subject to additional billing or a new invoice. Activation and deactivation management may be carried out manually by the Publisher.

11. Non-payment

In case of non-payment, the Publisher reserves the right to suspend access to the service until regularization. Costs and consequences related to payment incidents remain the responsibility of the customer.

12. No right of withdrawal

Since the offers covered by these Terms and Conditions of Sale are intended for professionals, no right of withdrawal applies in this context.

13. Termination - refund

Unless otherwise agreed in writing, no amount is refundable for a period already started. The customer may stop using the service at any time; the license remains valid until its expiry.

14. Availability - maintenance

The Publisher strives to ensure reasonable service availability. Interruptions may occur for maintenance, updates or technical constraints. No guarantee of permanent availability is provided.

15. Liability

Results provided by Azimutis depend on entered data and conditions of use. The customer remains solely responsible for use of the analyses, decisions and commitments. The Publisher cannot be held liable for indirect damages, loss of revenue, loss of opportunity, commercial or financial harm.

16. Intellectual property

Azimutis, its code, interfaces, trademarks, graphic elements and content are protected by intellectual property law. Any unauthorized use is prohibited.

17. Data - accounts

The customer is responsible for confidentiality of users' login credentials and for accuracy of information provided. Data remains under the customer's control in accordance with the applicable documents (Terms of Service / Privacy Policy).

18. Force majeure

Neither party may be held liable for a breach due to a force majeure event under French law.

19. Applicable law - disputes

These Terms and Conditions of Sale are governed by French law. Any dispute falls within the jurisdiction of the French courts.

20. Acceptance

Any order, payment or use of an Azimutis Pro license constitutes full acceptance of these Terms and Conditions of Sale.
